Equity partnerships, company sales & succession

Financing your dream

Shape the next chapter of your company.

New capital, a partial exit or a full sale can each serve a different purpose. UYI Capital helps owners consider the alternatives and build a transaction around their priorities for the company and themselves.

We advise on equity investment, the sale of existing shares and changes in ownership, from defining the objectives through negotiations and completion.

For owners and shareholders

How the work takes shape

01

Bring in a partner for the next stage

An institutional investor, investment fund or strategic partner may help finance expansion, a significant investment or an acquisition. Choosing a partner also means considering the relationship you want: their investment horizon, their role in decisions and their expectations for the business.

We help establish the balance between new capital for the company and liquidity for shareholders, while examining ownership, governance and the owners’ future involvement.

02

Consider an institutional minority partner

For a business of suitable scale, an institutional minority investment can be an option to explore. The discussion should address capital for growth, governance and reporting expectations, and any longer-term plans for accessing capital markets.

Where retaining control is a priority, we assess it through the proposed shareholding and decision-making rights. The structure needs to reflect both the owners’ objectives and the investor’s requirements.

03

Sell all or part of your shareholding

We help owners evaluate a full sale, a partial exit or a staged transaction. Together, we define the type of buyer, the proposed structure and the role the owners wish to retain after completion.

Prospective investors and buyers are approved by the company before we approach them. We coordinate discussions, manage offers, support negotiations and help coordinate due diligence alongside the other advisers through to completion.

04

Make room for family and succession decisions

In a family business, a transaction can involve the next generation, different shareholder priorities and decisions that take time to mature.

We work at a pace that allows owners to consider their options. A minority partner, a partial exit or a staged sale can be explored alongside the family’s wishes for continued involvement in the business.

05

Negotiate with patience and commercial purpose

We work to advance our client’s interests. Understanding the other party’s priorities helps us identify possible solutions on structure, timing and commercial terms when negotiations become difficult.
